4Murti B2B and FTL Terms and Conditions

1. Agreement Overview These Terms and Conditions (“Agreement”) apply to all transactions between 4Murti (“Provider”) and its business clients (“Merchants”) for the provision of Full Truck Load (FTL) logistics and fulfilment services.

2. Services Provided

• FTL Shipping: Full Truck Load (FTL) services for the transportation of goods from origin to destination.

• B2B Fulfilment: Efficient warehousing, packaging, and distribution services for businesses looking to scale their operations.

3. Pricing and Payment Terms

• Rates: Pricing for FTL services is calculated based on weight, volume, and distance. Custom pricing may apply for long-term agreements or volume-based discounts.

• Payment Schedule: Payments are due within 7 days from the invoice date, unless otherwise stated in the contract. Payment methods accepted include wire transfer, credit card, or check.

• Late Payment Fees: Any late payments will incur a 2% weekly interest charge on the outstanding balance.

• Refunds/Adjustments: Adjustments to invoices for overcharging or service-related issues will be processed within 10 to 14 days.

• 4Murti reserves the right to withhold COD remittance, The COD Remittance will not be released by 4Murti, If there is a negative balance in your 4Murti wallet. To ensure timely release of COD remittances, please maintain a positive balance in your wallet.

4. Shipment and Delivery

• Delivery Timeframe: Estimated delivery times will be provided upon booking but are subject to delays caused by unforeseen events (e.g., weather, traffic, etc.).

• Delivery Confirmation: Delivery is confirmed when the goods are unloaded at the Merchant’s designated delivery location.

• Delays: 4Murti is not responsible for delays caused by circumstances beyond our control (e.g., traffic, natural disasters, and customs clearance issues).

5. Merchant Responsibilities

• Packaging and Labeling: The Merchant is responsible for ensuring all goods are properly packaged, labeled, and comply with applicable regulations. Failure to do so may result in delayed or rejected shipments.
• Documentation: All necessary shipping documentation (invoices, bills of lading, export forms) must be provided before goods are shipped.

6. Carrier Responsibilities

• Transportation and Safety: 4Murti will ensure that goods are transported safely and securely. We will comply with all safety regulations during the transportation process.
• Tracking: 4Murti provides tracking services and will notify the Merchant of any significant delays during transit.

7. Insurance and Claims

• Insurance:The Merchant may opt to purchase cargo insurance at the time of shipment booking. Without insurance, 4Murti’s liability is limited to the declared value of the goods.
• Claims Process: The Merchant must report any damages or losses within 48 hours of delivery to initiate a claim. Claims will be reviewed in accordance with the terms of the insurance policy.

8. Force Majeure

Neither party shall be held liable for failure to perform any of the obligations under this Agreement due to events beyond their control, including but not limited to natural disasters, pandemics, governmental regulations, or labor disputes.

9. Dispute Resolution

• Arbitration: Any disputes arising from this Agreement shall first be attempted to be resolved through informal discussions. If resolution cannot be reached, the dispute will be submitted to binding arbitration in [jurisdiction] in accordance with the rules of the [Arbitration Association].
• Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [State/Country].

10. Confidentiality

Both parties agree to maintain the confidentiality of any sensitive information, including business data, pricing, and shipment details, and not to disclose such information to third parties without prior consent, unless required by law.

11. Termination

• Termination for Convenience: Either party may terminate this Agreement with 30 days’ written notice. • Termination for Cause: Either party may terminate this Agreement immediately if the other party breaches any material term and fails to remedy the breach within 15 days after notice. • Effect of Termination: Upon termination, any outstanding payments or obligations will remain due.

12. Liability and Indemnification

• Limitation of Liability: 4Murti’s liability for damages, delays, or loss of goods is limited to the lesser of the declared value of the goods or the cost of the shipment. • Indemnification: The Merchant agrees to indemnify and hold 4Murti harmless from any claims arising out of the Merchant’s failure to comply with the terms of this Agreement, including but not limited to improper packaging or non-compliant documentation.
